Terms and conditions governing the relationship between Splitmulti and Merchants on the platform.

1. Introduction

Splitmulti Limited ("Splitmulti", "we", "our", or "us") operates an escrow-powered e-commerce platform ("the Platform") that enables vendors ("Merchant", "you", or "your") to sell products and services directly to customers through bulk and split purchase models.

Our goal is to help merchants maximize sales volume, minimize unsold inventory, and access a broader pool of customers who benefit from shared, discounted purchasing. Splitmulti provides a secure transaction environment through its proprietary Escrow Aggregation Software (EAS), ensuring that payments are held safely until all purchase conditions are fulfilled.

By registering as a Merchant, you gain access to your own storefront, payment gateway, wallet settlement system, analytics, and marketing tools. Splitmulti may modify or update the terms of this Agreement from time to time, and such updates will take effect upon publication on www.splitmulti.com.

2. Services Rendered

Splitmulti provides the following core services to Merchants:

  1. A digital storefront for product and service listings (Regular, Split, or Bundled).
  2. Escrow-based payment processing via Paystack and Access Bank.
  3. Vendor wallet for settlements, refunds, and withdrawals.
  4. Automatic split purchase tracking and timer management.
  5. Order validation, proof-of-shipment upload, and video verification.
  6. Access to real-time sales analytics and reports.
  7. In-app communication tools to engage customers.
  8. Marketing and promotional visibility through Splitmulti campaigns.

Splitmulti reserves the right to add, remove, or modify services at any time. Some premium services (e.g., ad placements) may attract separate fees.

3. Merchant Responsibilities

Merchants agree to:

  1. Provide genuine, legal and accurately described products or services.
  2. Maintain up-to-date inventory and pricing information.
  3. Upload proof-of-shipment videos for every fulfilled order.
  4. Ensure delivery timelines are met as per customer agreements.
  5. Comply with quality, safety, and regulatory standards (e.g., NAFDAC, SON, NCC).
  6. Respond promptly to Splitmulti or customer communications.
  7. Maintain confidentiality of customer data and transaction details.

4. Compensation & Fees

Splitmulti reserves the right to review and adjust fees, commissions, or rebate policies with prior notice to merchants.

  1. Splitmulti charges a 5% transaction fee on each completed sale.
  2. Split purchases attract an additional 1.5% split charge on the cart value.
  3. Payment gateway rebates and category-based markups apply as per category rules.
  4. Settlement to Merchant wallets occurs after customer confirmation and hold period expiry for dispute resolution.
  5. Refunds (for cancelled or incomplete splits) are processed automatically.

5. Limitation of Liability

To the full extent permitted by law, Splitmulti shall not be liable to the Merchant for any indirect, incidental, consequential, special or punitive damages, including but not limited to loss of profits, revenue, goodwill or business opportunities arising out of or in connection with the use of the Splitmulti platform or the performance of this Agreement.

Merchant acknowledges that Splitmulti provides an online marketplace service and is not responsible for the acts, omission or products of third-party sellers, buyers, payment processors or logistics providers.

6. Confidentiality

All information, processes, and data shared through Splitmulti systems are confidential. Merchants may not disclose or reproduce proprietary information without written consent. Publicly available content (e.g., product listings) is exempt from this clause.

7. Independent Contractor Status

Merchants act as independent sellers and are not employees or agents of Splitmulti. All taxes, permits, and statutory obligations are the sole responsibility of the Merchant.

8. Indemnification

The Merchant agrees to indemnify and hold harmless Splitmulti, its partners, and affiliates against any claims, damages, or losses arising from:

  1. Breach of law or regulation;
  2. Sale of counterfeit or substandard goods;
  3. Customer dissatisfaction due to misleading product descriptions;
  4. Any fraudulent, negligent, or unlawful activity related to the Merchant's use of the Platform.

9. Termination

Splitmulti reserves the right to suspend or terminate a merchant account for:

  1. Listing illegal, counterfeit, or misleading products;
  2. Breaching platform policies;
  3. Receiving repeated customer complaints;
  4. Non-compliance with delivery timelines or proof-of-shipment requirements.

Merchants may terminate their account by written notice, subject to settlement of any outstanding obligations.

10. Representation and Warranties

  • Each party represents that it has the authority to enter the agreement.
  • Merchants warrant that their goods/services are genuine, lawful, and accurately described.
  • Disclaim warranties of uninterrupted service or error-free operation of the platform.

11. Intellectual Property

All trademarks, logos, designs, and content displayed on the platform remain the property of their respective owners.

Merchants retain ownership of their product images, brand names, and materials but grant the Company a limited, non-exclusive, royalty-free license to use such content for the purpose of promoting, operating, and displaying listings on the platform.

12. Refunds and Returns

Merchants must comply with the platform's refund and return policy to ensure customer satisfaction and regulatory compliance.

Refunds or replacements should be processed promptly once a valid return request is received and verified. The Company may mediate disputes between customers and merchants but is not obligated to bear the cost of refunds unless caused by a system or payment error attributable to the platform.

Merchants are required to communicate clear return conditions in their product listings, including timelines and acceptable reasons for returns.

13. Miscellaneous

Splitmulti reserves the right to amend or update this agreement with reasonable notice to merchants (via email or platform notice). Continuous use after such notice constitutes acceptance.

This agreement supersedes previous arrangements. Any clause found to be invalid by law or a court of competent jurisdiction shall not affect the entirety of the agreement. This agreement prohibits merchants from transferring rights without written consent of Splitmulti. Parties are exempted from liability during force majeure events (war, natural disasters etc.)
